These Terms of Service ("Terms") govern your use of FoxShield AI, an AI-powered code review service operated by FOX Digital ("we", "us", "our").

By using FoxShield, you agree to these Terms. If you do not agree, do not use the service.

1. Service Description

FoxShield provides automated AI code review for software pull requests. The service includes:

• Automated analysis of pull request diffs for security, quality, and performance issues
• Quality scoring and quality gate enforcement via GitHub Check Runs
• Review findings posted as inline comments on pull requests
• Dashboard for viewing review history and analytics
• CLI tool for local code analysis
• Self-hosted deployment option (Enterprise tier)

2. Account Terms

2.1 Eligibility

You must be at least 16 years old and capable of forming a binding agreement to use FoxShield.

2.2 Account Responsibility

You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Ensuring your use complies with applicable laws

2.3 Organization Accounts

If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Subscription and Payment

3.1 Plans

FoxShield offers the following plans:

• Free: Limited reviews per month, single agent, public repositories
• Pro: Unlimited reviews, all agents, private repositories, quality gates
• Enterprise: Everything in Pro plus self-hosted option, custom rules, priority support

3.2 Billing

• Paid plans are billed monthly or annually via Stripe
• Prices are listed in USD and may be subject to applicable taxes
• You authorize us to charge your payment method on file for recurring subscription fees

3.3 Free Trial

We may offer a free trial period for paid plans. At the end of the trial, your subscription will begin unless you cancel before the trial ends.

3.4 Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• We do not provide prorated refunds for partial months
• If you believe you were charged in error, contact billing@centralfox.online within 30 days

3.5 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of your next billing cycle.

4. Usage Limits and Fair Use

4.1 Rate Limits

Each plan has API rate limits to ensure fair use:

• Free: 500 requests/day
• Pro: 10,000 requests/day
• Enterprise: Unlimited

4.2 Acceptable Use

You agree not to:

• Use FoxShield to analyze code you do not have the right to access
• Reverse engineer, decompile, or attempt to extract the source code of FoxShield (except as permitted by applicable law)
• Use FoxShield for any unlawful purpose
• Resell or redistribute the service without authorization
• Intentionally overload or disrupt the service
• Attempt to bypass rate limits or access controls

4.3 Automated Usage

Use of FoxShield through automated systems (CI/CD pipelines, scripts) is permitted and encouraged within your plan's rate limits.

5. Intellectual Property

5.1 Your Code

You retain all intellectual property rights to your code. FoxShield's review of your code does not transfer any ownership or license rights to us. We claim no rights over your source code, diffs, or repository contents.

5.2 Review Findings

Review findings generated by FoxShield (descriptions, suggestions, scores) are provided as part of the service and may be used freely by you.

5.3 Our Service

FoxShield, including its agents, algorithms, user interface, and documentation, is owned by FOX Digital and protected by applicable intellectual property laws.

5.4 Open Source

Portions of FoxShield are released under the MIT License. The terms of that license apply to the open-source components.

6. Data and Privacy

Your use of FoxShield is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

Enterprise customers may request a Data Processing Agreement (DPA).

7. Warranty Disclaimer

FoxShield is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the service will be uninterrupted, error-free, or secure
• Warranties that review findings will identify all vulnerabilities or issues in your code

FoxShield is a tool to assist code review, not a replacement for human judgment. You are responsible for reviewing and verifying all findings before acting on them.

8. Limitation of Liability

To the maximum extent permitted by law:

• Our total aggregate liability for any claims arising from your use of FoxShield shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• We are not liable for damages arising from:
  • Security vulnerabilities in your code that FoxShield did not detect
  • Actions taken based on FoxShield's review findings
  • Service interruptions or data loss

9. Indemnification

You agree to indemnify and hold harmless FOX Digital from claims, damages, or expenses arising from:

• Your use of FoxShield in violation of these Terms
• Your violation of applicable laws
• Your code or content processed through FoxShield

10. Termination

10.1 By You

You may terminate your account at any time by canceling your subscription and deleting your account.

10.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees after reasonable notice
• Use the service in a way that threatens the security or integrity of our infrastructure

10.3 Effect of Termination

Upon termination:

• Your access to FoxShield will cease
• We will delete your data within 30 days (see our Privacy Policy for details)
• Provisions that by their nature should survive termination will survive (Sections 5, 7, 8, 9)

11. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will:

• Notify you via email at least 30 days before the changes take effect
• Post the updated Terms on our website

Your continued use after changes take effect constitutes acceptance.

12. Governing Law and Disputes

These Terms are governed by the laws of Portugal. Any disputes arising from these Terms shall be resolved in the courts of Lisbon, Portugal.

If you are an EU consumer, you may also be entitled to submit disputes to the EU Online Dispute Resolution platform.

13. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations to a successor entity.
